Preamble
​
PAPERLAB TECHNOLOGIES ("PAPERLAB TECHNOLOGIES", "we", "us", "our") operates PaperLab, a web-based platform and related services for document processing, knowledge extraction, and retrieval-augmented generation, available at paperlab.ai and its subdomains (collectively, the "Site").

These Terms of Use ("Terms"), together with all policies referenced in them (including our Privacy Policy) govern your access to and use of the Site and any features, applications, software, products, or services provided by PAPERLAB TECHNOLOGIES (collectively, the "Services"). Certain Services may be subject to additional terms ("Service Terms"). If there is a conflict between these Terms and any Service Terms, the Service Terms will control for that Service.
If you do not agree to these Terms, do not access or use the Services.

1) General Terms
"You" and "your" refer to any person or entity using the Services. If you accept these Terms on behalf of an entity, you represent and warrant that you are authorized to bind that entity; in that case, "you" means the entity.
You must have reached the age of majority and be able to consent to data processing under the laws of your jurisdiction to use the Services.
Certain Services may require accurate and complete registration information. You agree to keep such information current.

2) Paid Services & Billing
Some Services are or may become paid ("Paid Services"). Pricing, billing cycles, taxes, refunds, and other commercial terms for Paid Services are described in the applicable Service Terms or order forms. You authorize us and our payment processors to charge all amounts due using your selected payment method.

3) Licenses & Ownership
Your license from us. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
Reservation of rights. We and our licensors retain all right, title, and interest in and to the Services, including software, models, interfaces, and content provided by us.
No commercial re-use. Except as expressly permitted in writing by PAPERLAB TECHNOLOGIES, you may not use the Services to build or improve a competing product or to develop, train, or improve any machine-learning model or system.

4) Third‑Party Services
The Services may link to or interoperate with third‑party websites, services, APIs, models, data sources, or cloud providers ("Third‑Party Services"). We do not control and are not responsible for Third‑Party Services, which may be subject to their own terms and privacy policies. Your use of Third‑Party Services is at your sole discretion and risk.

5) Acceptable Use (Restrictions)
You agree not to, and not to permit others to:
infringe or violate others’ intellectual property, privacy, or other rights;
upload, post, or transmit content that is illegal, harmful, deceptive, defamatory, obscene, or otherwise objectionable;
interfere with, disrupt, or compromise the Services, including by introducing malware, performing denial‑of‑service attacks, or attempting to bypass security or access controls;
crawl, scrape, or harvest the Services (manually or via automation) except as permitted by our robots.txt or with our prior written consent;
copy, download, or store a substantial portion of content hosted on the Services;
decompile, reverse engineer, or attempt to derive source code or underlying ideas from the Services, except to the extent permitted by law;
use the Services or any outputs to create, train, or improve models, products, or services other than PaperLab without our prior written permission;
violate any applicable law or regulation, or help others do so.
High‑risk use. Do not use the Services for purposes that create a significant risk to safety, fundamental rights, or well‑being, including uses that would be considered a "high‑risk AI system" under the EU AI Act, or for legal, medical, financial, or other professional advice without review by a qualified professional.

6) Your Content ("Customer Content")
Ownership. You retain all rights in documents, data, and other content you submit to the Services ("Customer Content").
License to operate the Services. You grant PAPERLAB TECHNOLOGIES a worldwide, non‑exclusive license to host, process, transform, analyze, and display Customer Content solely to provide, secure, troubleshoot, and improve the Services you use (e.g., OCR, parsing, embedding, retrieval, quality, and performance).
Model training. We do not use Customer Content to train our foundation models or third‑party models without your express written permission.
Your responsibilities. You are responsible for Customer Content and for ensuring you have all necessary rights to submit it and to grant the license above. We may remove or limit distribution of Customer Content that violates these Terms.

7) Confidentiality
Each party may receive non‑public information from the other that is marked or reasonably considered confidential ("Confidential Information"). The receiving party will use the disclosing party’s Confidential Information only to fulfill these Terms, will protect it using reasonable measures, and will not disclose it to third parties except to personnel and subprocessors who need to know it and are bound by confidentiality obligations.

8) Data Protection & Privacy
Our processing of personal data is described in the Privacy Policy. Where required by law or contract, additional data processing terms may apply (e.g., a data processing agreement). You are responsible for providing legally sufficient notices and obtaining all necessary consents from data subjects whose personal data you submit to the Services.

9) Beta Services & Free Trials
We may offer features or services identified as beta, preview, or evaluation ("Beta Services"). Beta Services are provided as is and may be changed or discontinued at any time. We may also offer Free Trials with terms communicated during sign‑up. Do not use Beta Services in production or for critical workloads.

10) Service‑Specific Terms - Document Processing & Retrieval
If you use PaperLab’s OCR, parsing, vector embedding, and retrieval‑augmented generation features (the "Document Processing & Retrieval Service"):
You may submit documents and instructions ("Input") and receive machine‑generated content ("Output").
We are not obligated to produce any particular Output and may decline or fail to produce Output for technical or legal reasons. We will endeavor to notify you promptly where feasible.
While we use reasonable efforts to provide accurate and timely Output, Output may be incomplete, inaccurate, or outdated and is provided for general information only. You must verify Output and obtain professional advice before relying on it.
Output display limits (anti‑aggregation). To prevent systematic public aggregation, you may not (a) publicly display more than two Output documents at any one time, and (b) publicly display more than 200,000 characters of Output in total, unless expressly permitted in writing by PAPERLAB TECHNOLOGIES. You may share Output privately within your organization.
You must not remove or alter any PaperLab attributions, disclaimers, or notices contained in Output that we mark as required.

11) Availability, Support & Modifications
We may modify, suspend, or discontinue the Services (in whole or part) at any time. We will use reasonable efforts to provide advance notice of material changes. Certain features may be subject to usage limits, quotas, or fair‑use policies. Support entitlements, uptime targets, and remediation (if any) are described in applicable Service Terms or order forms.

12) Term & Termination
We may suspend or terminate your access to the Services immediately if you breach these Terms, if required by law, or for risk, security, or misuse concerns. You may stop using the Services at any time. Sections that by their nature should survive termination will survive (including ownership, confidentiality, disclaimers, limitations of liability, indemnities, and dispute resolution).

13) Disclaimers
The Services and all content are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non‑infringement, accuracy, or reliability. We do not warrant that the Services will be uninterrupted, secure, error‑free, or free of harmful components.

14) Limitation of Liability
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law (e.g., liability for death or personal injury caused by negligence, or for fraud). To the maximum extent permitted by law:
We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business interruption.
Our total aggregate liability for all claims arising out of or related to the Services is limited to the amounts you paid to PAPERLAB TECHNOLOGIES for the Services giving rise to the claim in the 12 months preceding the event first giving rise to liability (or €100 if no such fees were paid).

15) Indemnification
You agree to indemnify and hold harmless PAPERLAB TECHNOLOGIES and its directors, officers, employees, agents, and suppliers from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your: (a) use of the Services, (b) Customer Content, or (c) breach of these Terms or applicable law.

16) Governing Law & Disputes
These Terms and any non‑contractual obligations arising out of or in connection with them are governed by the laws of Australia, without regard to conflict‑of‑law rules. The courts of Australia will have exclusive jurisdiction over disputes, and each party irrevocably submits to such jurisdiction.

17) Changes to the Terms
We may update these Terms from time to time. The updated Terms will be effective upon posting on the Site (or later effective date stated in the posting). If you continue to use the Services after the updated Terms take effect, you agree to the updated Terms.

18) Assignment
We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law, without notice. You may not assign these Terms without our prior written consent, and any attempted assignment in violation of this provision is void.

19) Miscellaneous
Severability. If any provision is unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions will remain in effect.
Entire agreement. These Terms (and any applicable Service Terms, order forms, and policies referenced herein) are the entire agreement between you and PAPERLAB TECHNOLOGIES regarding the Services and supersede all prior or contemporaneous agreements on the subject matter.
No third‑party beneficiaries. Except as expressly stated, there are no third‑party beneficiaries to these Terms.
Notices. We may provide notices by posting to the Site or by email to the address associated with your account. You are responsible for keeping your contact details current.
Export. You must comply with applicable export control, sanctions, and trade laws in connection with your use of the Services.
